Terms of Service for Organisations

B2B SaaS Agreement · Version 1.0 Draft · June 2026

1. Parties and Definitions

Starkik operates the platform at starkik.co and starkik.com as a B2B SaaS provider.

Organisation means any legal entity or individual entrepreneur approved to operate a page on Starkik, including sports clubs, athletes, artists, and content creators.

Fan means end users who subscribe to or donate to an Organisation. Fans are customers of the Organisation, not of Starkik.

2. Nature of the Agreement

Starkik provides technology infrastructure. The Organisation is the direct service provider to its Fans. Starkik is not a party to any agreement between the Organisation and its Fans. The Organisation bears full responsibility for its relationship with Fans.

3. Onboarding and KYB Verification

To activate a page, the Organisation must complete Know Your Business (KYB) verification including registration documents, authorised representative ID, and UBO identification.

The Organisation must open or provide a verified business payment account:

  • Wise Business Account (recommended) — open independently at wise.com and provide Wise Account ID
  • Revolut Business Account — open independently and provide account details
  • Bank IBAN/SWIFT — provide IBAN and BIC. International transfer fees are the Organisation's responsibility

All KYB and account opening costs are borne by the Organisation. Organisations from sanctioned jurisdictions are not eligible.

4. Payment Processing and Revenue Distribution

Revenue is automatically distributed per Starkik's revenue sharing model. Example for entity type "team": Organisation 80%, Platform 10%, Matrix 4%, Pools 4%, Registrant 1%, Agent 1%. Exact percentages vary by entity type and may be updated with 30 days notice.

Stripe processing fees are charged to the Fan at checkout and do not reduce the Organisation's revenue share.

5. Donations vs Crowdfunding

All payments through Starkik Projects are voluntary donations and are not investments or crowdfunding in the legal sense. Starkik does not hold funds in escrow and does not guarantee refunds if funding goals are not reached. Donors do not receive equity, securities, or financial instruments. Starkik acts solely as a technical payment intermediary through Stripe.

6. Prohibited Conduct and Identity Fraud

The Organisation must not provide false information, impersonate another entity, publish illegal content, or circumvent Starkik's revenue distribution system.

⚠️ Identity Fraud Consequences

Impersonation or identity fraud will result in: immediate page freeze, forfeiture of all funds, civil claim by Starkik, civil claim by the impersonated party, and reporting to law enforcement.

7. Data Protection (GDPR)

The Organisation is the Data Controller for Fan personal data. Starkik is the Data Processor. Stripe is a Sub-Processor for payment data. Starkik processes Fan data solely to provide Platform Services and will not use Fan data for other purposes.

8. Governing Law

This Agreement is governed by the laws of [Estonia / Georgia — to be confirmed upon incorporation]. Disputes shall be resolved by negotiation, then arbitration in the jurisdiction of incorporation.
